Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the website and services (the “Service”) operated by TGD SOLUTIONS EURL, a company registered in France with its registered office at 11 rue Surcouf, 75007 Paris, France (“we”, “us”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
These Terms should be read together with our Privacy Policy, which forms part of them. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Eligibility
You must be at least 18 years of age to use the Service. By using the Service you represent and warrant that you meet this requirement.
2. Accounts
You must provide accurate and complete information when creating an account and keep that information current. You are responsible for maintaining the confidentiality of your account credentials, including any API keys issued to you, and for all activity that occurs under your account.
API keys are displayed once at the time of creation and are stored by us only in hashed form. We are unable to recover a key on your behalf. If you believe a key or your account has been compromised, you must revoke the key and notify us promptly.
3. Your Content
You retain all right, title and interest in the files you submit to the Service and in the data extracted from them (“Your Content”). You grant us a limited licence to host, process, transmit and display Your Content solely to the extent necessary to provide the Service to you. This licence terminates when Your Content is deleted.
You represent and warrant that you have all rights necessary to submit Your Content to the Service and that doing so does not infringe the rights of any third party or violate any applicable law.
We do not use Your Content to train machine learning models. Files you submit are deleted automatically within 24 hours of processing; extracted data is retained in your account until you delete it. Retention is described further in our Privacy Policy.
4. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation;
- submit files containing malware or any other harmful code;
- attempt to gain unauthorised access to the Service, to other users’ accounts, or to any system or network connected to the Service;
- interfere with or disrupt the integrity or performance of the Service, including by circumventing usage limits or rate limits;
- resell, sublicense or otherwise make the Service available to third parties except as expressly permitted by your plan;
- use the Service, or data obtained from it, to develop a competing product; or
- use automated means to access the Service other than through the documented interfaces provided for that purpose.
Use of the API is subject to rate limits. We may throttle or revoke credentials which persistently exceed them.
5. Plans and Usage Limits
The Service is offered on a free plan and on paid subscription plans. Each plan includes a monthly allowance of files which may be processed, and certain features, including API access, are available only on specified plans. Allowances reset each billing period and do not carry over.
Current plans, prices, allowances and limits are set out on our pricing page, which prevails over any description of them elsewhere on this site.
6. Fees and Payment
Paid plans are billed in advance on a monthly or annual basis and renew automatically for successive periods until cancelled. Prices are stated exclusive of value added tax and any other applicable taxes, which are added where required.
Payments are processed by Stripe, which acts as merchant of record in respect of subscriptions to the Service. Your contract for payment is therefore with Stripe, Stripe is responsible for the collection and remittance of applicable taxes, and payment card details are provided directly to Stripe and are not received by us. Stripe’s own terms apply to the payment transaction.
You are responsible for maintaining a valid payment method. If a payment fails, we may suspend or terminate access to paid features.
7. Changes to Fees
We may change our fees. Where fees change for an existing subscription, we will give notice before the change takes effect at the next renewal. Continued use of the Service after that date constitutes acceptance of the revised fees. If you do not accept them, you may cancel before renewal.
8. Cancellation and Refunds
You may cancel a subscription at any time from within the Service. Cancellation takes effect at the end of the current billing period, and you retain access until that date. Fees already paid are not refunded on a pro rata basis.
Where the Service has failed to perform as described, you may request a refund within 14 days of the relevant charge. As Stripe acts as merchant of record, Stripe may also issue a refund directly, including in connection with a dispute raised with it.
9. Intellectual Property
The Service, including its software, design, text and trade marks, is and remains our property or that of our licensors, and is protected by intellectual property law. These Terms do not grant you any right in the Service other than the limited right to use it in accordance with them. Nothing in this section affects your rights in Your Content.
10. Accuracy of Output
The Service verifies extracted data against totals and control figures contained in the submitted file. A successful verification establishes that the extracted data is internally consistent with the file from which it was derived. It does not constitute a warranty that the extracted data is complete or correct, and material which cannot be verified is marked for review rather than corrected.
You are responsible for reviewing all output before relying on it. Output produced by the Service does not constitute accounting, tax, legal or financial advice, and must not be relied upon as the sole basis for any filing, report or decision having legal or financial consequences.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.
Nothing in this section excludes or limits any warranty or condition which cannot lawfully be excluded or limited, and where you are a consumer your statutory rights are not affected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited.
13. Indemnification
You agree to indemnify and hold us harmless against any claim, liability, loss or expense, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, or your submission of content which you were not entitled to submit.
14. Suspension and Termination
You may stop using the Service and delete your account at any time. Deletion of your account results in the deletion of Your Content.
We may suspend or terminate your access to the Service where you breach these Terms, where your use is unlawful, or where your use presents a risk to the Service or to other users. Where the breach is capable of remedy, we will give notice and a reasonable opportunity to remedy it before terminating, except where immediate suspension is necessary.
Sections 3, 9, 11, 12, 13 and 17 survive termination.
15. Changes to These Terms
We may amend these Terms from time to time. The date at the head of this page indicates when they were last revised. Where amendments are material, we will notify account holders by email before they take effect. Continued use of the Service after that date constitutes acceptance.
16. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary and the remaining provisions shall continue in full force. A failure to enforce any provision shall not constitute a waiver of it.
17. Governing Law
These Terms are governed by the laws of France, and the courts of France shall have exclusive jurisdiction over any dispute arising out of or in connection with them. Where you are a consumer, this does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence.
